What are the Economic Substance Regulations?

Rules requiring UAE entities carrying on defined relevant activities, such as holding company business, distribution, headquarters or intellectual property activity, to demonstrate genuine substance in the UAE and to report annually. Scope and requirements have been amended over time, so an annual assessment is sensible.

What is a UBO register?

A record of the natural persons who ultimately own or control the company, typically those holding 25% or more. It must be filed with your licensing authority and kept current when ownership changes.

What happens if I miss a filing?

Penalties vary by obligation but are generally substantial and can escalate with continued non-compliance. Serious or repeated failures can affect your licence renewal and your banking relationships.

Does this apply to small companies?

Many obligations apply regardless of size. A single-shareholder free zone company still needs corporate tax registration, a UBO filing and, depending on its activity, an Economic Substance assessment.
