A new company’s Corporate Tax registration is a separate task from obtaining its trade licence or registering for VAT. It also has its own deadline. For a UAE resident juridical person established on or after 1 March 2024, including a free zone company, the Federal Tax Authority says the registration application is due within three months of incorporation, establishment or recognition.
That is a registration deadline, not a statement that the company already owes tax. The actual Corporate Tax calculation and return follow the applicable tax period and rules. A founder should put registration on the post-incorporation checklist immediately instead of waiting for the first profitable year.
Who should check the three-month rule?
The rule is particularly relevant to newly incorporated UAE companies. The FTA distinguishes those entities from older companies, natural persons and certain non-resident entities, whose registration timelines differ. A foreign group should also assess whether its UAE presence is a local company, a branch or another arrangement before applying a deadline taken from a generic checklist.
Free zone status does not by itself remove Corporate Tax registration obligations. The FTA states that newly established resident juridical persons, including free zone persons, fall under the three-month registration timeframe. Whether any income later qualifies for a particular tax treatment is a separate analysis.
What should be ready for the application?
The FTA’s Corporate Tax registration service is available through EmaraTax. Its published document list includes an incorporation certificate or constitutional document where available, commercial registration or other licensing authority document, valid trade licence where applicable, identity documents for owners holding more than 25% and authorised signatories, and evidence that the signatory is authorised.
Gathering these documents during formation makes the tax handoff easier. Confirm the company name, licence number, incorporation date, ownership percentages and contact details across the records. Inconsistent information can slow an application and makes later compliance harder.
What happens after registration?
Registration produces a Corporate Tax Registration Number. The company must still maintain suitable financial records, identify its first tax period and prepare for filing. The FTA says late registration can attract an administrative penalty of AED 10,000, subject to the conditions of its late-registration penalty waiver initiative. A waiver should not be treated as a reason to miss the original deadline.
The FTA has explained that a new company’s first Corporate Tax period is linked to its first financial year under the applicable company law. That can be shorter or longer than twelve months in some cases. Record the financial year in the company’s formation and accounting documents so the registration, bookkeeping and future return timetable agree.
How Trilliant can help
Trilliant Business Services can carry the setup process through to its first compliance milestones. Its team can confirm the incorporation date and entity type, organise the formation and ownership records, coordinate the Corporate Tax registration with a qualified tax specialist, and put the first accounting and filing dates on a working calendar. This reduces the chance that an otherwise completed company setup leaves a time-sensitive registration unattended.
